1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the YPNUS platform, website, and related services (collectively, "Services") operated by YPN Inc. ("Company," "we," "us," or "our"). By creating an account or using the Services, you agree to be bound by these Terms.

2. Description of Services

YPNUS provides AI-powered marketing technology tools for mortgage loan officers including:

• Hyper-local SEO page generation and optimization
• AI chatbot deployment and configuration
• Social media content generation
• Google Business Profile optimization guidance
• Realtor co-marketing portal and tools
• Lead capture and qualification tools

YPNUS IS NOT a licensed mortgage lender, broker, banker, or financial institution. We do not originate loans, provide mortgage advice, or make lending decisions. All tools are for marketing and lead generation purposes only.

3. Account Registration and Security

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use at hello@ypnus.com.

4. Acceptable Use

You agree NOT to use YPNUS to:

• Publish false, misleading, or deceptive mortgage marketing content
• Quote specific interest rates, APRs, or make loan approval guarantees in AI-generated content without proper disclosures
• Violate federal or state mortgage marketing regulations (RESPA, TILA, FCRA, state licensing laws)
• Engage in unlicensed mortgage origination activities
• Infringe on intellectual property rights of third parties
• Attempt to reverse-engineer, scrape, or exploit the platform
• Use the platform for spam, phishing, or any unlawful purpose

5. Compliance Responsibility

Critical: You are solely responsible for ensuring that all content generated by YPNUS tools complies with applicable federal and state mortgage marketing regulations, your employer's compliance policies, and your NMLS licensing requirements. YPNUS provides a starting point — not a compliance guarantee. Always review AI-generated content with your company's compliance officer before publishing.

6. Subscription and Payment

Paid subscriptions are billed monthly or annually as selected. All fees are non-refundable except as described in our 30-day money-back guarantee for first-time subscribers. We reserve the right to change pricing with 30 days' notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.

7. Intellectual Property

YPNUS platform code, design, trademarks, and proprietary technology are owned by YPN Inc. Content you generate using YPNUS tools is yours — you retain ownership of all AI-generated content created through your account. You grant YPN Inc. a limited license to process your inputs to provide the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLIANT, OR SUITABLE FOR YOUR SPECIFIC USE CASE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YPN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days' notice (except for material violations, which may result in immediate termination). Upon termination, your right to use the Services ceases.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute shall be resolved in the courts of Fresno County, California.
